Adams Leclair Attorneys Lead NBI Webinar on Subcontractor Agreements and Disputes

Attorneys from Adams Leclair LLP recently delivered a webinar sharing their knowledge of construction law for the National Business Institute (NBI). Titled Advising Clients on Subcontractor Use: Contracts and Disputes, this program was developed to help attorneys, contractors, and industry professionals minimize exposure and avoid costly mistakes in subcontractor relationships — a crucial topic in today’s increasingly complex construction landscape.
The session began with Richard T. Bell Jr., who presented on the essential “Do’s and Don’ts” of subcontractor agreements. His discussion covered the importance of due diligence when selecting subcontractors, the distinctions between subcontractor and master subcontractor agreements, and how to properly structure purchase orders to materials suppliers.
Following his presentation, Dan Adams explored “Flow-Down Provisions: Issues to Watch For and Best Practices.” Adams emphasized the importance of aligning subcontractor obligations with prime contracts, while avoiding unintended scope conflicts and obligations that can create disputes or delays down the line.
Anthony J. Adams Jr. then provided guidance on structuring indemnity clauses and insurance requirements within subcontractor agreements. His segment focused on strategies to align risk allocation with overall project requirements, clarify responsibilities, and ensure that subcontractor-provided insurances match contractual requirements.
The program concluded with Ted Baum, who addressed some of the most common disputes that arise in subcontracting relationships. His presentation offered practical advice on resolving payment disputes, handling defective work and warranty claims, managing delay claims, and navigating termination issues. Baum highlighted how proactive contract management and clear communication can often prevent these conflicts from escalating into litigation.
